These Terms & Conditions constitute a legally binding agreement between you ("Client") and Sparklusion, a division of Sparklusion Media ("Company", "We", "Us", "Our") for event management, photography, videography, and luxury gifting services. By booking our services or making any payment, you acknowledge that you have read, understood, and agree to be bound by these terms.
Sparklusion provides the following professional services:
All bookings require a minimum 25% advance payment to confirm the reservation. Your booking date is secured only upon receipt of this advance payment. Verbal or email confirmations without payment do not constitute a confirmed booking.
IMPORTANT: All payments must be made exclusively through our official website sparklusion.com or via authorized payment links sent from our registered email address. Payments must be made in favor of Bit By Bit Web Services Private Limited only. We will never ask for payments through personal accounts, WhatsApp, or unauthorized channels. Any payment made outside these channels is at your own risk, and we will not be held responsible.
All quoted prices are exclusive of GST (Goods and Services Tax) and other applicable taxes, which will be charged extra as per prevailing government rates. The final invoice will clearly specify all tax components. Any changes in tax rates by the government will be passed on to the client accordingly.
Unless separate payment terms are explicitly mentioned in your invoice/quotation, the following standard payment schedule shall apply:
Where a specific payment schedule is mentioned in your signed quotation or invoice, those terms shall supersede this default schedule. In the absence of such specific terms, this standard payment structure will be applicable.
Failure to make payments as per the agreed schedule may result in cancellation of services without refund of amounts already paid. We reserve the right to withhold deliverables until full payment is received. Late payments may attract interest charges of 2% per month or as per applicable laws.
Sparklusion operates as event managers and coordinators. We facilitate and coordinate services but do not directly provide all services ourselves. We engage with specialized third-party vendors (caterers, decorators, venue providers, equipment suppliers, etc.) to deliver comprehensive event solutions.
All statutory licenses, permits, and registrations required by vendors (including but not limited to FSSAI food licenses, fire safety certificates, music licenses, liquor permits, health permits) are the sole responsibility of the respective vendors providing those services. Sparklusion ensures that we work only with licensed and reputable vendors but does not assume legal liability for vendor compliance.
While we carefully select and coordinate with professional vendors, Sparklusion is not directly liable for:
We commit to exercising reasonable diligence in vendor selection and will coordinate with vendors to resolve any issues. However, the contractual relationship for specific services (e.g., catering, venue) exists between the client and the vendor unless Sparklusion explicitly assumes direct responsibility in writing.
Clients are responsible for ensuring that all necessary permissions from venue authorities, residential societies, or local bodies are obtained for the event. This includes but is not limited to noise permits, parking arrangements, security clearances, and adherence to local regulations. Sparklusion can assist in the process but ultimate compliance responsibility rests with the client.
Before finalizing the package, you must review and confirm all deliverables details that will be shared via WhatsApp or email. Any changes after confirmation may incur additional charges.
The package includes coverage for the agreed-upon duration only. Any extension beyond the booked hours will be charged at ₹2,000 per hour for photography and ₹3,000 per hour for videography (or as per the quotation).
All download/viewing links (Google Drive, cloud storage, or gallery URLs) will remain active for 14 days only from the date of delivery. After this period, we reserve the right to archive or delete the content due to storage limitations. Clients must download and back up their files within this timeframe. Re-upload or link reactivation requests after 14 days may attract additional charges starting from ₹2,000 or may not be possible.
Sparklusion retains full copyright of all photographs and videos. Clients receive a personal use license for the delivered content. Commercial use, resale, or redistribution without written permission is strictly prohibited. We reserve the right to use photos/videos for our portfolio, marketing, and promotional purposes unless explicitly restricted in writing.
For outdoor shoots, unfavorable weather conditions beyond our control may affect the quality or feasibility of the shoot. We will make reasonable efforts to reschedule, but no refunds will be issued for weather-related cancellations initiated by the client.
While we maintain professional-grade equipment with backups, we are not liable for complete loss of content due to unforeseen technical failures, memory card corruption, or other equipment malfunctions beyond our control. We carry backup equipment and take all reasonable precautions, but photography/videography inherently carries some technical risk.
Our event management services include only those items explicitly mentioned in the signed quotation. Any additional requirements requested during planning or execution will be charged separately.
While we coordinate with third-party vendors (caterers, decorators, venues, etc.), we are not responsible for their performance, quality, or delays. Contracts with third-party vendors are between the client and the vendor unless Sparklusion is explicitly acting as the contracting party.
Clients must ensure venue permissions, licenses, and insurance (if required) are obtained. We are not responsible for legal compliance at the venue unless specifically contracted for this service.
Changes to the event plan within 7 days of the event date may not be feasible and may attract rush charges of 20-30% of the modification cost.
Final guest count must be confirmed 7 days before the event. Variations exceeding 10% of the confirmed count may result in additional charges.
We are not liable for injuries, accidents, theft, or property damage occurring during the event unless directly caused by proven negligence on our part. Clients are advised to obtain event insurance for comprehensive protection.
Custom hamper orders require 7-14 days lead time depending on complexity and quantity. Rush orders may attract additional charges of 15-25%.
In case of product unavailability, we reserve the right to substitute items with similar or better quality products of equivalent value after client consultation where possible.
Delivery timelines are estimated and may vary based on location and courier availability. We are not responsible for delays caused by incorrect addresses, recipient unavailability, or courier service issues.
Claims for damaged products must be reported within 24 hours of delivery with photographic evidence. Replacement will be subject to verification and product availability.
Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for those specific services. We are not liable for indirect, consequential, or punitive damages.
Client agrees to indemnify and hold Sparklusion harmless from any claims, damages, or expenses arising from: (a) client's negligence or misconduct, (b) third-party claims related to the event, or (c) client's violation of any laws or regulations.
We are not liable for failure to perform due to circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government restrictions, strikes, riots, acts of terrorism, power failures, or internet outages.
All creative work, including but not limited to photographs, videos, designs, concepts, and event plans created by Sparklusion remain our intellectual property. Clients receive a limited, non-exclusive license for personal use only. Any commercial use, reproduction, or distribution requires prior written consent and may involve licensing fees.
Client may not remove watermarks, alter credits, or misrepresent the work as their own creation. Violation of intellectual property rights may result in legal action.
Any disputes arising from these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to arbitration in Delhi/Noida, India, under the Indian Arbitration and Conciliation Act, 1996. The courts of Delhi/Noida shall have exclusive jurisdiction.
These terms are governed by the laws of India.
We reserve the right to update these Terms & Conditions at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified terms. For existing bookings, the terms in effect at the time of booking shall apply.
